TojuCares End User License Agreement

Effective Date: 12 May 2026

Welcome to TojuCares. By downloading our application, accessing our website, or using any of our related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be legally bound by all terms and conditions in this End User License Agreement (the “Agreement”).

For clarity, all capitalized terms used throughout this Agreement are defined in Section 18.

1. Our Role and the Scope of Our Services

The TojuCares platform is a neutral venue designed to connect Users. We provide tools and resources to help facilitate these connections for the purpose of securing or providing care services. It is crucial to understand that all transactions and care agreements are made directly between Users. TojuCares is not a party to any agreement between a Care Seeker and a Care Provider. All content and materials provided through our Services are for informational purposes only.

We reserve the right to review, modify, improve, or discontinue any aspect of our Services at our sole discretion, temporarily or permanently.

To be clear, TojuCares DOES NOT:

  1. Employ, endorse, or officially recommend any User.
  2. Conduct universal screening, identity verification, or background checks on all Users (though we may offer access to these services through third-party vendors).
  3. Control or take responsibility for the conduct of any User, whether online or offline.
  4. Make any warranty or representation regarding the quality of care services or the integrity of any interactions between Users.
  5. Independently verify the accuracy of User Content.
  6. Guarantee that all Users currently meet or continue to meet our Eligibility Conditions.
  7. Your Responsibilities as a User

    YOUR USE OF THE TOJUCARES SERVICES IS ENTIRELY AT YOUR OWN RISK. As a User, you are solely and fully responsible for your actions and decisions on and off the platform. This includes:

  8. Exercising caution, good judgment, and common sense in all interactions, including when communicating, meeting, hiring, or accepting a job from another User.
  9. Making your own informed decisions about whom to connect with, interview, hire, or work for.
  10. Protecting the confidentiality of your account password and all other login information.

    You are responsible for all activity that occurs under your account. You must notify TojuCares immediately if you suspect any unauthorized access or use of your account.

Data, Location, and Communications

  1. Electronic Transactions: By using our Services, you consent to transact with us electronically. Your digital agreement or consent carries the same legal weight as a physical signature.
  2. Personal Information and AI: Our collection and use of your personal information are governed by our Privacy Policy. By using the Services, you consent to our use of your data as described therein. TojuCares may utilize artificial intelligence (AI) and machine learning technologies to enhance your experience, improve platform security, and provide personalized support and content. All use of AI will comply with our Privacy Policy and applicable laws.
  3. Location-Based Features: With your explicit consent, we may enable location features that collect your geolocation data. This information helps you find nearby Users and provides location-relevant content and advertising. YOU CAN DISABLE THE AUTOMATIC COLLECTION OF YOUR LOCATION INFORMATION AT ANY TIME THROUGH YOUR DEVICE’S PRIVACY SETTINGS OR BY UNINSTALLING OUR APP.
  4. Communications: We may communicate with you about our Services via email, text message (where you have provided consent), or other electronic means. Standard carrier rates for messaging and data will apply. Please review our Text Message Policy below for more details.

 

Memberships, Automatic Renewals, and Payment

Certain features of our Services may require a paid membership (“Paid Membership”). We may offer promotional or free trial memberships that automatically convert to a Paid Membership unless canceled before the trial period ends.

By signing up for a Paid Membership, you agree to pay the applicable fees and authorize TojuCares to charge your designated payment method. **YOUR PAID MEMBERSHIP WILL AUTOMATICALLY RENEW AT THE CONCLUSION OF EACH TERM AT THE THEN-CURRENT RATE. YOU CAN CANCEL YOUR MEMBERSHIP AND PREVENT AUTO-RENEWAL AT ANY TIME THROUGH YOUR ACCOUNT SETTINGS OR BY CONTACTING OUR SUPPORT TEAM AT [info@tojucares.com].

 

Your License to Use Our Services

TojuCares grants you a personal, limited, revocable, non-exclusive, and non-transferable license to use our Services and download our Apps for your personal, non-commercial use. This license is revocable by us at any time.

Any use of the Services or Proprietary Materials other than as expressly authorized in this Agreement is strictly prohibited and will result in the immediate termination of your license. Prohibited actions include:

  1. Modifying, copying, or creating derivative works from the Services or TojuCares Content.
  2. Using data mining, robots, or similar data extraction methods.
  3. Reselling, distributing, or otherwise commercially exploiting the Services.
  4. Attempting to reverse-engineer or discover the source code of our platform.

User Eligibility

To register for and use our Services, you must meet the following conditions (“Eligibility Conditions”):

  1. You are at least eighteen (18) years of age.
  2. You agree to comply with all local, state, and federal laws applicable to your use of the Services.
  3. Neither you nor any member of your household has been convicted of a crime, is subject to a restraining order, or is required to register as a sex offender.
  4. Every care provider must pay for and undergo a background check via our vendor and pass before account activation.

Prohibited Conduct and Account Termination

TojuCares may, in its sole discretion and without notice, remove content, restrict your access, or suspend or terminate your account for any reason. The following conduct is strictly prohibited and constitutes grounds for immediate account termination:

  1. Violating the terms of the License or failing to meet the Eligibility Conditions.
  2. Providing false, inaccurate, or misleading information
  3. Sharing your account or impersonating another person.
  4. Using the Services for any commercial purpose not expressly approved by TojuCares.
  5. Engaging in abusive, defamatory, threatening, or illegal behavior.
  6. Uploading or transmitting malware, viruses, or any other malicious code.
  7. Spamming other Users or promoting pyramid schemes.
  8. Misusing or misappropriating any platform information through automated or manual means.

     

Third-Party Services and Content

Our platform may provide links or access to third-party services, such as payment processors or background check vendors (“Third-Party Services”). We provide this access solely for your convenience. We do not control or endorse these third parties. **YOUR USE OF ANY THIRD-PARTY SERVICES IS AT YOUR OWN RISK.** We are not responsible for their business practices, policies, or the quality of their offerings.

Your User Content

You are solely responsible for the User Content you post, submit, or transmit on our platform. By providing User Content, you represent that you have the right to do so and grant TojuCares an irrevocable, perpetual, fully paid, worldwide license to use, copy, display, adapt, modify, and distribute your User Content in connection with operating and promoting the Services.

Release and Indemnification

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE TO RELEASE, INDEMNIFY, DEFEND, AND HOLD HARMLESS TOJUCARES and its parent companies, affiliates, officers, agents, and employees from any claims, demands, losses, liabilities, damages, and expenses (including reasonable attorney’s fees) arising out of or in connection with your use of the Services, your interactions with other Users, or your violation of this Agreement.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, TOJUCARES DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, OR RELIABLE.

Limitation of Liability

IN NO EVENT SHALL TOJUCARES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT THAT GAVE RISE TO THE CLAIM.**

 

Governing Law and General Provisions

This Agreement shall be governed by the laws of the State of Texas, without regard to its conflict of law principles. You agree that the exclusive venue for any claim or dispute arising from this Agreement shall be the state and federal courts located in Dallas County.

Definitions

“App(s)”: The official mobile application(s) offered by TojuCares.
“TojuCares”: [KPSE Technologies LLC], its parent companies, subsidiaries, affiliates, and their respective officers, directors, employees, and agents.

“User”, “You”, or “Your”: Any individual who accesses or uses the Services, including Care Seekers and Care Providers.
“User Content”: Any information, photos, messages, or materials a User posts or provides through the Services.

TojuCares Text Message and Email Policy

By providing your phone number and opting in to receive text messages, you agree to the following terms. Your consent is not required to make any purchase.

Types of Messages: TojuCares may send you marketing texts (like promotions and updates) and/or transactional texts (related to your account, job opportunities, bookings, and security alerts). These messages may be sent using an automated system.
Costs: We do not charge for this service, but standard message and data rates from your mobile carrier may apply.
Opting Out: You can opt out of marketing and general text messages at any time by replying “STOP” to any message you receive from us. You will receive one final confirmation text. After that, you will no longer receive general messages from us, though you may still receive critical security-related texts.
